Terms of Service

Welcome to Halftone AI ("Halftone AI", "we", "us", or "our"). Halftone AI is an artificial-intelligence-powered platform that allows users to generate images and videos ("Service"), operated by Chettaniya Verma, sole proprietor, trading as Halftone AI, having its registered place of business at 02, Central Colony, 80 Ft Road, Ratlam, Madhya Pradesh – 457001, India.

These Terms of Service ("Terms") govern your access to and use of our website, applications, and Service available at https://halftoneai.app (collectively, the "Platform").

By accessing, registering for, or using the Platform, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, you must not use the Platform.

These Terms constitute an electronic record under the Information Technology Act, 2000 and the rules made thereunder, and do not require any physical or digital signature.

• "User", "you", "your" means any person who accesses or uses the Platform.
• "Account" means the registered account you create to access the Service.
• "Input" or "User Content" means any text prompt, image, video, file, or other material you upload, submit, or provide to the Service.
• "Output" means the images, videos, or other content generated by the Service in response to your Input.
• "Subscription" means a paid, recurring plan giving access to specified features of the Service.

You must be at least 18 years old to create an Account and use the Service. The Service is not available to anyone under 18. By using the Platform, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

To use the Service you must create an Account and provide accurate, current, and complete information. You are responsible for:

• maintaining the confidentiality of your login credentials;
• all activity that occurs under your Account; and
• notifying us immediately of any unauthorised use.

We may suspend or terminate Accounts that contain false information or that are used in breach of these Terms.

Halftone AI uses machine-learning models to generate images and videos based on the Input you provide. The Service may rely on third-party AI models, cloud infrastructure, and processing providers. You acknowledge that:

• AI-generated Output is probabilistic and may be inaccurate, unexpected, offensive, or not fit for any particular purpose;
• the same or similar Input may produce different Output for different users, and Output may resemble content generated for others;
• we do not guarantee that Output is original, unique, or free from third-party rights; and
• features, models, and limits may change, be added, or be removed at any time.

6.1 Plans and fees. Access to paid features requires a Subscription. Current plans and prices are shown on the Platform and may be updated from time to time.

6.2 Billing. Payments are processed by our third-party payment processor, Razorpay Software Private Limited ("Razorpay"). By subscribing, you authorise us and Razorpay to charge your chosen payment method on a recurring basis. Your use of Razorpay is also subject to Razorpay's own terms and privacy policy.

6.3 Auto-renewal. Subscriptions renew automatically at the end of each billing cycle at the then-current price, unless you cancel before the renewal date.

6.4 Cancellation. You may cancel at any time from your Account settings. Cancellation stops future renewals; it does not shorten the current paid period, and you will retain access until the end of that period.

6.5 Taxes. Prices are stated exclusive of applicable taxes (including GST), which will be added at checkout where applicable. You are responsible for any taxes not collected by us.

All subscription fees are non-refundable. Except where a refund is required by applicable law, we do not provide refunds or credits for partially used billing periods, unused credits, or generated Output you are dissatisfied with. If you believe you were charged in error, contact us at support@halftoneai.app within 7 days of the charge, and we will review the matter in good faith.

8.1 Ownership. You retain ownership of the Input you upload. We do not claim ownership of your User Content.

8.2 Licence to us. You grant Halftone AI a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, and transmit your User Content solely to operate, provide, secure, and improve the Service, and as otherwise described in our Privacy Policy.

8.3 Your warranties. You represent and warrant that:

• you own or have all necessary rights, licences, and consents to your User Content;
• your User Content and its use through the Service do not infringe any third party's intellectual-property, privacy, publicity, or other rights; and
• if your Input contains the likeness of any real person, you have that person's consent.

You are solely responsible for your Input and for the Output you generate, download, publish, or distribute.

9.1 Your rights. Subject to your compliance with these Terms and payment of applicable fees, we assign to you such rights as we hold in the Output generated from your Input, so that you may use it for lawful personal or commercial purposes.

9.2 No guarantee of exclusivity or IP protection. Because of how generative AI works, we cannot and do not guarantee that Output is original, that it does not resemble other content, or that it is eligible for copyright or other protection. The legal status of AI-generated content is unsettled in India and elsewhere; you use Output at your own risk.

9.3 Your responsibility. You are responsible for reviewing Output before use and for ensuring your use of Output complies with all applicable laws and third-party rights.

You agree not to use the Service to create, upload, generate, or distribute content that:

• depicts child sexual abuse material (CSAM) or sexualises minors in any way;
• is sexually explicit, pornographic, or non-consensual intimate imagery ("deepfake" nudity or similar);
• depicts, impersonates, or generates the likeness or voice of any real, identifiable person without their consent, including for the purpose of deception, fraud, defamation, or "deepfakes";
• promotes violence, terrorism, self-harm, hatred, or discrimination against any group;
• infringes any copyright, trademark, or other intellectual-property right;
• violates any person's privacy or publicity rights;
• is defamatory, harassing, obscene, or unlawful under Indian law, including the Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021;
• constitutes misinformation, election manipulation, or impersonation of any authority; or
• attempts to reverse-engineer, scrape, overload, circumvent usage limits, or misuse the Service or its underlying models.

We may, at our discretion and without prior notice, remove content, suspend or terminate Accounts, and report unlawful activity (including CSAM) to law-enforcement authorities as required by law.

All rights, title, and interest in the Platform, including its software, models, design, trademarks, and branding (but excluding your User Content and your Output), are owned by or licensed to Halftone AI. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform in accordance with these Terms. No other rights are granted.

The Service integrates third-party providers (for example, AI model providers, cloud hosting, payment processing, and analytics). Your use of those integrations may be subject to their terms, and we are not responsible for third-party services.

The Service and all Output are provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that Output will meet your requirements.

To the maximum extent permitted by applicable law, Halftone AI and its proprietor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or content, arising out of or relating to your use of the Service or any Output.

To the extent liability cannot be excluded, our total aggregate liability for all claims relating to the Service shall not exceed the amount you paid to us in the three (3) months immediately preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Halftone AI and its proprietor from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your User Content, your Output, your use of the Service, or your breach of these Terms or of any law or third-party right.

We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms, if required by law, or to protect the Service or other users. You may stop using the Service at any time. Provisions that by their nature should survive termination (including Sections 8–15, 18, and 19) will survive.

We may update these Terms from time to time. We will post the updated version on the Platform and revise the "Last updated" date. Material changes will be notified to you where reasonably practicable. Your continued use of the Service after changes take effect constitutes acceptance.

These Terms are governed by the laws of India. Subject to any applicable consumer-protection law, the courts at Ratlam, Madhya Pradesh shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
